1. Acceptance of Terms
These Terms and Conditions (the "Terms") constitute a legally binding agreement between you ("User", "you") and Gemma ("Gemma", "we", "us"), operator of the website gemma.cards (the "Platform"). By accessing, registering with, or making any purchase on the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use the Platform.
2. Eligibility
The Platform is available exclusively to natural persons who are at least eighteen (18) years of age and possess full legal capacity to enter into binding contracts. By using the Platform you represent and warrant that you meet these requirements. We reserve the right to request proof of age and to suspend or terminate any account where such proof is not provided or where we reasonably believe the User is underage.
3. Nature of the Service — Digital Packs with Randomized Draws
The Platform offers the purchase of digital booster packs ("Packs"). Each Pack constitutes a digital product with a randomized draw: the contents of a Pack are determined by a provably fair random draw (see Section 7) and are not known to the User prior to opening. The images of packs and cards displayed on the Platform are digital samples (images) for illustrative purposes only and do not constitute, at the moment of the draw, delivery of a physical product. Upon opening a Pack, the User is credited with a digital entitlement corresponding to each drawn card, which may be (a) converted into Gemma coins via the buyback mechanism (Section 6), or (b) redeemed for the corresponding physical card via vault shipment (Section 8).
4. No Affiliation
Gemma is not affiliated with, endorsed by, sponsored by, or in any way officially connected with Bandai Namco, Bandai Co. Ltd., The Pokémon Company, Nintendo, Creatures Inc., GAME FREAK Inc., or LimitlessTCG, or any of their subsidiaries or affiliates. All card names, images, logos, and trademarks are the property of their respective owners and are used solely to identify the physical products that may be redeemed through the Platform. References to market prices are indicative and derived from publicly available sources.
5. Gemma Coins
Gemma coins are a virtual currency usable exclusively within the Platform. Coins are purchasable via the payment methods offered (Stripe) at the published rates. Coins (i) have no cash value outside the Platform, (ii) are not redeemable, refundable, or exchangeable for legal tender, (iii) are not transferable between accounts, and (iv) may be forfeited upon termination of the account for breach of these Terms. Purchases of coins are final, save for the statutory 14-day withdrawal for entirely unused purchases (Section 9) and for mandatory statutory rights that cannot be waived.
6. Buyback
Each drawn card may be sold back to the Platform instantly ("Buyback") at the rate published at the time of sale (currently tiered by card value: ninety percent (90%) for cards worth less than €2, eighty percent (80%) from €2 to €10, and seventy-five percent (75%) for €10 and above, of the indicative market value of the card as determined by the Platform's pricing sources). Buyback proceeds are credited in Gemma coins. The Buyback rate and pricing sources may be amended at any time with prospective effect.
7. Provably Fair Draws
Prior to payment for any Pack, the Platform publishes a SHA-256 commitment of the draw outcome. Upon opening, the underlying seed is revealed, enabling the User to independently verify that the outcome was fixed before payment and has not been altered. Draw odds per rarity tier are published on each Pack's purchase screen. The maximum value distributable by any single draw is subject to liquidity-based caps applied uniformly by the Platform's engine.
8. Physical Cards — Vault and Shipping
Cards moved to the User's vault may be redeemed for physical delivery. Gemma supplies cards from its own inventory where available; where a card is not in stock, Gemma purchases it on the open market on the User's behalf and it is shipped directly to the User (tracked where available) upon payment of the published shipping fee: €10 covering up to 3 cards individually worth €10 or more, plus €5 for each further card worth €10 or more; cards individually worth less than €10 are charged €8 each and are not covered by the €10 base (payable by card). For shipments to a United States address, the €10 base covers up to 5 cards individually worth €10 or more. Users whose cumulative top-up payments exceed €99.99 (amounts actually paid, excluding bonus coins) are entitled to one free shipment of up to 3 cards in any rolling 30-day period, exclusively for shipments to a United States address, regardless of card value; shipments to any other destination are always charged at the published rates; cards beyond the third, and further shipments within the same period, are charged at the standard published rates. Upon receiving a shipping request, for cards not held in inventory Gemma uses the User's shipping address to place orders with its suppliers on the User's behalf; the shipment may arrive as multiple parcels or letters, on different days, as cards may be dispatched by different suppliers. This is normal and does not indicate a problem with the order. Typical delivery time is 7 to 10 business days. Physical delivery is available only to Users who have purchased at least €10 of Gemma coins; until then, cards remain in the User's account and may be kept or sold back at any time, but cannot be shipped. Delivery times depend on market availability of the specific card and the destination. Where a specific card cannot be sourced within a reasonable time at commercially reasonable conditions, Gemma reserves the right to credit the User with the full indicative market value of the card in Gemma coins in lieu of physical delivery. Once a parcel is handed over to the courier, transport times and the handling of the parcel are the sole responsibility of the courier; shipments travel tracked where the shipping method allows it, and Gemma's liability for loss of or damage to a parcel in transit is limited to the compensation recoverable from the courier or the supplier (including shipping insurance, where the chosen service includes it), which Gemma will pursue on the User's behalf. Where none of the requested cards can be sourced, the shipping fee is refunded in full; where only part of them can be sourced, the fee is recalculated at the published rates and the difference credited. Risk in the goods passes to the User upon delivery. The condition of physical cards is as sourced on the market; grading is not guaranteed unless expressly stated. Acceptance of these shipping conditions is required at the time of each shipment request. Shipping fees are displayed before payment; by paying, the User expressly accepts their amount. Disagreement with the price of shipping does not constitute grounds for a refund, and once Gemma has engaged its suppliers for the requested cards the shipping fee is non-refundable (see the Refund Policy).
9. Digital Products — Refunds and Right of Withdrawal
Coins and Packs are digital products. By opening a Pack the User expressly requests immediate performance of the digital service and acknowledges the loss of the statutory right of withdrawal once the draw is performed (Art. 16(m), Directive 2011/83/EU and equivalent provisions). Opened Packs are not refundable under any circumstances, and the outcome or market value of a draw is never grounds for a refund. Coin purchases that are entirely unused may be refunded within fourteen (14) days of purchase upon request. Shipping fees are published before payment and, once paid, are refundable only in the cases set out in the Refund Policy, which forms an integral part of these Terms; the perceived cost of shipping is not grounds for a refund.
10. Payments
Payments are processed by Stripe, Inc. and are subject to Stripe's own terms of service. Gemma does not store card details. The User agrees to provide accurate billing information and warrants being authorized to use the selected payment method. In case of chargebacks or payment disputes initiated without prior contact with support, Gemma reserves the right to suspend the account pending resolution.
11. Responsible Play
Pack opening involves randomized outcomes, and the aggregate expected value of drawn cards is generally lower than the purchase price of Packs. The Platform is a form of entertainment and must not be treated as an investment vehicle or income source. Spend only what you can afford. Users who wish to limit or terminate their activity may contact support@gemma.cards to request account closure.
12. Account and Conduct
The User is responsible for maintaining the confidentiality of their credentials and for all activity under their account. It is prohibited to: (a) exploit bugs, automation, or technical manipulation of the draw, wallet, or shipment systems; (b) use multiple accounts to abuse promotions; (c) resell or transfer accounts or coins. Gemma may suspend or terminate accounts engaged in prohibited conduct and void balances attributable to such conduct.
13. System Errors and Corrections
Coin balances, coin amounts, prices, card values, published odds, draw outcomes and any other figures shown on the Platform may occasionally be affected by a software bug, miscalculation, pricing error, or system malfunction. Any credit, coin balance, card value, or entitlement that arises from such an error does not create a right in favour of the User, even where the User acted in good faith and was not aware of the error. Where an error occurs, Gemma may, at its reasonable discretion and without prior notice: correct the affected figures; reverse, adjust or void the coins, balances or entitlements generated by the error; and recalculate the account to the position that would have existed absent the error. Gemma will act proportionately and in good faith — for example, it may choose to honour a physical shipment already requested or dispatched, and may grant discretionary goodwill credit — but any such gesture is voluntary and does not waive Gemma's right to correct the error. This Section applies independently of Section 12 and regardless of whether any prohibited conduct occurred.
14. Intellectual Property
The Platform, including its software, design, text, and proprietary draw engine, is the exclusive property of Gemma or its licensors and is protected by applicable intellectual property laws. No license is granted except as strictly necessary to use the Platform per these Terms. Third-party trademarks remain the property of their respective owners (Section 4).
15. Disclaimers and Limitation of Liability
The Platform is provided "as is" and "as available". To the maximum extent permitted by law, Gemma disclaims all warranties, express or implied, and shall not be liable for indirect, incidental, consequential, or punitive damages, loss of profits, or loss of data arising from the use of the Platform. In any event, Gemma's aggregate liability shall not exceed the amounts paid by the User to Gemma in the six (6) months preceding the event giving rise to liability. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including mandatory consumer protections.
16. Amendments
Gemma may amend these Terms at any time. Material changes will be notified via the Platform or by email; continued use after the effective date constitutes acceptance. The version of the Terms in force at the time of each purchase governs that purchase.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of Italy, without prejudice to mandatory consumer protections of the User's country of habitual residence within the EU. Any dispute shall be submitted to the courts of the consumer's place of residence where required by law, or otherwise to the competent Italian courts. EU consumers may also use the European Commission's Online Dispute Resolution platform.
